Terms of Service

1. Acceptance of Terms
By accessing or using the Colabe platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and businesses that access and use the Service.
2. Description of Service
Colabe provides AI-powered business operation tools, including AI employees for commerce, health, beauty, fitness, food, and service industries. The Service includes a dashboard for managing AI agents, integrations with third-party platforms, catalog management, customer communication, analytics, and payment processing via Stripe Connect.
3. Account Registration
You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
4. Subscription & Billing
Colabe offers paid subscription plans billed monthly or annually. Prices are displayed in USD and converted to your local currency at the time of payment. All payments are processed through Stripe. You may cancel your subscription at any time; access continues until the end of the current billing period. Refunds are handled according to applicable consumer protection laws in your jurisdiction.
5. Payment Processing (Stripe Connect)
Colabe uses Stripe Connect Standard to enable businesses to accept payments from their customers. By connecting your Stripe account, you agree to Stripe's Connected Account Agreement. Colabe does not charge commission on transactions processed through connected Stripe accounts. All funds flow directly to the merchant's Stripe account.
6. Acceptable Use
You agree not to: (a) use the Service for any illegal purpose; (b) upload content that infringes intellectual property rights; (c) attempt to gain unauthorized access to any part of the Service; (d) use the Service to send spam or unsolicited communications; (e) interfere with the operation of the Service; (f) resell or redistribute the Service without authorization.
7. Data & Content Ownership
You retain ownership of all content and data you submit to the Service. By using the Service, you grant Colabe a limited license to process your data as necessary to provide the Service. Colabe does not sell your data to third parties. AI-generated content created by the Service on your behalf is owned by you.
8. Service Availability
We strive for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with prior notice. We are not liable for downtime caused by third-party services, force majeure, or circumstances beyond our control.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Colabe shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim. Nothing in these Terms limits liability that cannot be excluded by law.
10. Termination
Either party may terminate the agreement at any time. Colabe may suspend or terminate your account if you violate these Terms. Upon termination, you may export your data within 30 days. After this period, data will be deleted in accordance with our data retention policies.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. For users in the European Union, mandatory consumer protection laws of your country of residence apply. For users in Brazil, the Brazilian Consumer Defense Code (CDC) applies where applicable.
12. Changes to Terms
We may update these Terms from time to time. We will notify users of material changes via email or in-app notification at least 30 days before changes take effect. Continued use of the Service after changes constitutes acceptance.
